Terms of Use

Acceptance of these terms

These Terms of Use govern your access to and use of this website, its content, and any services, programs, courses, materials, or booking features offered by ITHOS Solutions Inc., which operates the 1% Wisdom Coaching & Consulting brand (collectively, “1% Wisdom,” “we,” “us,” or “our”). By using this website, you agree to these terms. If you do not agree, do not use the website.

Eligibility

You must be at least 18 years old and legally able to enter into a binding agreement to purchase or use paid services. If you use the website on behalf of an organization, you represent that you have authority to bind that organization.

Permitted use

You may use this website for lawful, personal, or internal business purposes. You may not interfere with the website, attempt unauthorized access, introduce malicious code, scrape or harvest information, impersonate another person, use the website to violate another person’s rights, or use our content to train, develop, or operate a competing product or service without written permission.

Intellectual property

The website and its original content, including The BITBI Code, the EPES Loop, program materials, written content, graphics, videos, recordings, downloads, course materials, branding, and presentation materials, are owned by or licensed to 1% Wisdom and are protected by applicable intellectual-property laws. Your purchase or access gives you a limited, personal, nonexclusive, nontransferable, revocable license to use the materials for their stated purpose. It does not transfer ownership.

You may not reproduce, distribute, sell, license, publish, upload, modify, create derivative works from, publicly display, teach from, or commercially exploit protected materials without prior written permission. Brief quotations used for lawful commentary or review must include appropriate attribution.

User communications and submissions

You are responsible for the accuracy and legality of information you submit. Do not send confidential, proprietary, health, financial-account, government-identification, or other sensitive information unless we specifically request it through an appropriate secure process. Sending an inquiry does not create a coaching, consulting, fiduciary, employment, partnership, or client relationship. A paid professional relationship begins only when the applicable agreement and payment requirements are completed.

Third-party services and links

The website may link to or use third-party services such as Zoom, email providers, payment processors, video platforms, or social networks. Those services operate under their own terms and privacy practices. We do not control and are not responsible for their availability, security, content, policies, or performance.

No warranties

To the fullest extent permitted by law, this website and its content are provided “as is” and “as available.” We make no warranty that the website will be uninterrupted, error-free, secure, complete, or suitable for every purpose. We disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement.

Limitation of liability

To the fullest extent permitted by law, ITHOS Solutions Inc., the 1% Wisdom brand, and their owners, officers, directors, employees, contractors, representatives, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, opportunities, goodwill, or business interruption arising from or related to the website, its content, third-party services, or your use of them.

To the fullest extent permitted by law, our total liability for any claim related to the website or a service will not exceed the greater of $100 or the amount you paid directly to 1% Wisdom for the specific service giving rise to the claim during the six months before the event giving rise to liability. These limitations do not apply where applicable law prohibits them.

Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless ITHOS Solutions Inc., the 1% Wisdom brand, and their owners, officers, directors, employees, contractors, representatives, and affiliates from claims, liabilities, damages, judgments, losses, and reasonable costs arising from your unlawful use of the website, your breach of these terms, your submissions, or your violation of another person’s rights.

Governing law and venue

These terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles. Unless the parties agree otherwise in writing, any legal proceeding arising from these terms or the website must be brought in a state or federal court with jurisdiction in Shelby County, Tennessee. You consent to the personal jurisdiction and venue of those courts.

Changes, severability, and entire agreement

We may update these terms by posting a revised version and changing the “Last updated” date. Changes apply prospectively from the posted date. If a provision is found unenforceable, the remaining provisions remain effective. These terms, together with any separate written service agreement, constitute the applicable agreement concerning website use. A separate signed agreement controls if it expressly conflicts with these website terms.

Privacy Policy

Scope

This Privacy Policy explains how ITHOS Solutions Inc., as the operator of the 1% Wisdom Coaching & Consulting brand, collects, uses, discloses, and protects personal information through this website and related communications. It does not govern a third party’s independent practices.

Information we may collect

• Information you provide: name, email address, telephone number, job title, organization, event details, scheduling preferences, program interests, messages, and other information you choose to submit.
• Transaction information: purchased service or product, payment status, billing contact details, and transaction identifiers. Stripe processes payment-card and related payment information under Stripe’s own privacy policy. We generally receive transaction details and payment status rather than complete payment-card numbers.
• Session and service information: appointment details, attendance, communications, feedback, and materials needed to provide coaching, consulting, training, or speaking services.
• Technical and marketing information: internet protocol address, browser and device type, cookie or advertising identifiers, referring pages, pages visited, interactions, approximate location, timestamps, campaign attribution, and security or diagnostic logs that may be generated by our hosting, analytics, advertising, and service providers.

How we may use information

• Respond to inquiries and evaluate speaking, coaching, consulting, or training requests.
• Schedule, administer, personalize, and deliver services or programs.
• Process transactions, maintain business records, and provide customer support.
• Send service messages and, when permitted, email marketing. You may unsubscribe from promotional email through the unsubscribe method in the message.
• Operate, secure, troubleshoot, analyze, and improve the website and our services.
• Protect our rights, prevent misuse or fraud, comply with legal obligations, and enforce agreements.

Cookies and similar technologies

Our website and service providers may use cookies, pixels, tags, local storage, logs, and similar technologies. Essential technologies help operate and secure the website. Analytics technologies help us understand traffic, interactions, and performance. Advertising technologies may help measure campaigns, build audiences, limit repeated ads, and deliver or evaluate advertising on other services.

Where required, visitors will be offered a way to accept, reject, or manage nonessential technologies. You may also control cookies through your browser. Blocking technologies may affect some website functions. Where required and technically supported, we will process recognized opt-out preference signals, such as Global Privacy Control, as requests to opt out of applicable sale or sharing.

How information may be disclosed

Booking inquiries are processed by FormSubmit to deliver the information you enter to our team by email. FormSubmit states that it retains form submissions for 30 days. See FormSubmit’s documentation for details.

We may disclose information to vendors that provide hosting, Zoom scheduling or video conferencing, email delivery and marketing, Stripe payment processing, analytics, advertising measurement, customer support, professional advice, or other services on our behalf. Analytics and advertising providers may receive technical identifiers and information about visits or interactions. We may also disclose information when required by law, to protect rights or safety, during a business transaction such as a merger or sale, or with your direction or consent.

We do not sell personal information for money. Some privacy laws may define certain advertising-related disclosures as “sale,” “sharing,” or targeted advertising even when no money is exchanged. Where applicable, you may request to opt out by using the website’s privacy controls or contacting us.

Retention and security

We retain personal information only as long as reasonably necessary for the purposes described in this policy, including service delivery, recordkeeping, dispute resolution, security, and legal compliance. We use reasonable administrative, technical, and organizational safeguards appropriate to the information we maintain. No transmission or storage system is completely secure, so we cannot guarantee absolute security.

Your choices and privacy requests

You may request access to, correction of, or deletion of personal information we maintain about you. You may also ask to withdraw consent or opt out of promotional email. Depending on your location and applicable law, you may have additional rights concerning data portability, targeted advertising, sale, profiling, restriction, or appeal of a denied request.

Submit a request to nick@1percentwisdom.com. We may need to verify your identity before completing a request. We may retain or decline to delete information when permitted or required by law. You may use an authorized agent where applicable law allows it.

Children’s privacy

This website is not directed to children under 13, and we do not knowingly collect personal information online from children under 13. Paid services are intended for adults unless a separate written agreement expressly covers a program involving minors and includes appropriate authorization.

Visitors outside the United States

ITHOS Solutions Inc. operates from the United States. If you access the website from another country, your information may be processed in the United States and other locations where service providers operate. Applicable law may provide additional rights.

Policy changes and contact

Professional Disclaimer

Educational and informational purpose

The website, The BITBI Code, presentations, courses, downloads, videos, articles, and general communications provide educational and informational content. They do not constitute individualized professional advice unless a separate written agreement expressly states otherwise.

Coaching and consulting boundaries

Coaching and consulting support reflection, planning, decision-making, leadership, execution, and accountability. They are not psychotherapy, mental-health treatment, medical care, legal representation, tax advice, accounting services, investment advice, or financial planning. Do not disregard or delay qualified professional care because of content or services provided by 1% Wisdom. If you are experiencing a medical or mental-health emergency, contact emergency services or an appropriate licensed professional.

No guarantee of results

Your results depend on factors outside our control, including your circumstances, decisions, effort, timing, skills, resources, market conditions, and implementation. We do not promise or guarantee any particular personal, professional, business, financial, career, speaking, contracting, funding, or performance outcome.

Your responsibility

You remain solely responsible for your choices, actions, due diligence, implementation, and results. You should consult appropriately licensed professionals before making medical, mental-health, legal, tax, accounting, investment, employment, or other regulated decisions.

Testimonials and examples

Testimonials, case examples, audience reactions, and descriptions of past outcomes reflect individual experiences. They are not promises, guarantees, or representations that another person or organization will achieve the same or similar result. Any hypothetical example is illustrative only.

Information accuracy

We make reasonable efforts to present useful information, but content may become incomplete, outdated, or inaccurate. We do not warrant that all information is current or suitable for your circumstances. You should independently verify information before relying on it for a material decision.

Policy 04

Payments, Refunds & Cancellations

Prices and payment

Prices, payment schedules, deposits, and deliverables are stated on the applicable checkout page, proposal, order form, or service agreement. Payments are due in the stated currency and according to those terms. Taxes and third-party charges may apply. A booking is not confirmed until all stated booking requirements are completed. Online payments are processed by Stripe and are also subject to Stripe’s applicable terms and privacy practices.

1:1 sessions

Your scheduled session time is reserved exclusively for you. You may cancel or reschedule at least 24 hours before the scheduled start time without penalty. A payment may be transferred once to a replacement appointment scheduled within 30 days, subject to availability.

Cancellations made less than 24 hours before the scheduled start time and no-shows are nonrefundable. A new payment is required to book another appointment. One courtesy rescheduling request may be considered for a documented or reasonably explained emergency, at our discretion.

If you arrive late, the session will still end at the scheduled time. Arrival more than 15 minutes late may be treated as a no-show unless another arrangement is approved. If 1% Wisdom cancels a session, you may choose a replacement appointment or a refund of the amount paid for that session.

Digital products and self-paced courses

Because digital products and self-paced course materials can be accessed or downloaded immediately, purchases are final and nonrefundable unless the checkout page or a written guarantee expressly states otherwise, or applicable law requires a refund. If you cannot access a purchased product because of a verified technical issue on our side, contact us so we can restore access or provide an appropriate remedy.

Live programs, group coaching, and training

Enrollment fees and deposits for live programs, group coaching, workshops, and training are governed by the terms shown at purchase or in the applicable written agreement. Unless different terms are stated there, cancellation at least seven calendar days before the first scheduled session qualifies for a refund minus nonrefundable payment-processing charges. Later cancellations, missed sessions, and partial attendance are nonrefundable. An enrollment may be transferred to a later offering only with written approval.

Speaking and organizational engagements

Speaking, corporate training, government, educational, and organizational engagements are governed by the signed proposal or service agreement, including its deposit, travel, cancellation, rescheduling, force-majeure, recording, and intellectual-property terms. That signed agreement controls over this general policy.

Chargebacks and billing concerns

Please contact us first at nick@1percentwisdom.com so we can address a billing concern. Fraudulent or abusive chargebacks may result in suspension of access and collection of amounts lawfully owed.

1% Wisdom is committed to providing a website and digital experience that are accessible to a broad audience, including people with disabilities. We work to support readable text, keyboard navigation, descriptive alternatives for meaningful images, labeled forms, clear headings, visible focus states, and compatibility with common assistive technologies.

Accessibility is an ongoing effort, and some third-party content or services may be outside our direct control. If you experience difficulty using this website or need information in another format, email nick@1percentwisdom.com. Please identify the page, feature, or content involved and describe the assistance you need. We will make reasonable efforts to provide access or an effective alternative.
